Terms of Service (Terms & Conditions)

Draft for owner completion and legal review. Do not publish with unresolved placeholders.

Effective date: {{EFFECTIVE_DATE}} · Version: 1.0.0 (draft, not yet in effect)

1. Agreement and operator

These Terms govern ESL Teaching Studio's application, website and related services provided by Ian Magistrado Naz, trading as ESL Teaching Studio (the product name; not a registered business), at San Francisco, Iriga City, Camarines Sur, Philippines. Contact infosyscoreteam@gmail.com or +63 910 567 3778 for support and complaints. Our website is https://esl-teaching-studio.pages.dev/.

By affirmatively accepting these Terms when creating an account or obtaining a license, you agree to them. If you act for an organization, you must be authorized to do so. Do not use an account or license you are not authorized to use. The Privacy Policy explains personal-information handling; acknowledging it is not blanket consent to optional processing.

“Terms & Conditions” and “Terms of Service” refer to this same document. Purchase transactions through Lemon Squeezy are also subject to its Buyer Terms. Mandatory legal protections remain applicable. Our service Terms do not override the merchant's transaction obligations or your non-waivable consumer rights.

2. Eligibility and accounts

Teacher accounts are for people aged18 or older who can enter a binding agreement, or authorized organizational users meeting the applicable legal requirements. Students do not need an independent account merely to view a teacher's shared lesson. Keep account information accurate and credentials protected. Notify us of suspected unauthorized access. You are responsible for your own use and authorized users' use, subject to law; you are not automatically liable for every incident outside your control.

Do not share accounts to avoid disclosed seat/device restrictions. The purchased plan's device limits and transfer/deactivation process are two activated computers at a time; you can deactivate a computer in Plan & License to move the license to another one. Account sign-in, Google Drive connection and paid activation are separate functions.

3. Service and license

The app helps teachers prepare, organize and present ESL lessons and supported activities. Features, system requirements and plan limits are described at https://esl-teaching-studio.pages.dev/plan-details/. We do not guarantee a learner's test score, language level, employment outcome or teaching result.

Subject to these Terms and your plan, we grant a limited, non-exclusive license to install and use the app for your own authorized teaching activities. You may present built-in resources within lessons and make permitted teaching outputs to the extent described in the resource license at https://esl-teaching-studio.pages.dev/resource-license/. You may not resell, sublicense or distribute the app or its standalone resource collection without permission. Third-party materials remain subject to their licenses; nothing here grants rights we do not hold.

Do not circumvent licensing or security, impersonate others, upload unlawful material, interfere with systems, exploit children's data, infringe intellectual-property rights, or access another user's content without authorization. Reverse-engineering restrictions apply only to the extent permitted by law and do not exclude statutory rights.

4. Your lessons and imported content

You retain your rights in lessons, notes and media you provide. You grant us only the permissions reasonably needed to operate the features you request, such as displaying, storing, transmitting or restoring chosen content. This permission ends when no longer needed, subject to lawful retention and separate copies you control; it is not an ownership transfer or an unlimited right to commercialize your lessons.

Use content and learner information only when you have the relevant rights and authority. Obtain necessary school, learner or guardian permissions where required. Minimize identifying or sensitive information, including in filenames and support attachments. Our responsibilities for our processing are not transferred to you merely because you supplied the content.

5. Local storage and optional backups

Local lessons may remain on a specific device. Signing in elsewhere does not guarantee every lesson or imported file is already present there. Optional Drive backups require a separate Google authorization and selected upload settings. They use your connected Drive storage and depend on permissions, available space, connectivity and successful completion. Check backup status and keep suitable additional copies of important work.

The initial feature creates snapshots and offers guided restore as a new workspace; it is not guaranteed real-time two-way synchronization. Omitted media may need to be added manually. Disconnection or subscription cancellation does not automatically erase existing files in Drive. Manual exports and files copied elsewhere remain separate copies.

We will exercise the care required by applicable law. Backup limitations do not exclude responsibility that cannot lawfully be excluded. Do not rely on an incomplete or unverified backup as your only copy.

6. Plans, renewals and payments

Before checkout, the offer identifies the price, currency, billing interval, applicable taxes, included features, renewal terms and any trial conditions. Paid subscriptions renew at the disclosed interval until cancelled in accordance with the purchase terms. Do not buy unless you understand the recurring charge. Any trial converts to paid access only as expressly disclosed at checkout.

Lemon Squeezy acts as merchant of record for purchases it processes, handles the payment transaction and issues relevant billing documents. We administer the product and license. Manage your subscription through the supported billing portal at https://esl-teaching-studio.pages.dev/billing-help/ or the management link in your receipt. Removing the app or deleting local lessons does not cancel billing.

Cancellation timing, access through a paid period, and refund requests are explained in the Subscription, Cancellation & Refund Policy, the checkout offer and applicable merchant terms. Statutory remedies and mandatory cancellation/withdrawal rights are preserved. We do not impose an absolute “no refunds under any circumstances” rule.

Price changes apply only as permitted by the transaction terms and law, with required notice and consent where applicable. They are not retroactive charges for a completed period. Failed payments may affect paid access after the disclosed process. User-created content is not forfeited merely because a plan ends; supported access/export behavior is your lessons stay on your computer, and you can still view, back up and export them; creating, editing and teaching need an active plan.

7. Third-party services and changes

Google, Supabase, Lemon Squeezy and other disclosed providers have their own terms for their services. Authorizing an integration is your choice where the feature is optional. We do not promise those services will always be available or unchanged, and their involvement does not remove our obligations for the product we provide.

We may maintain and update the service. We will give appropriate notice of material changes affecting paid use and provide available remedies required by law. We will not rely on a hidden website edit to impose undisclosed charges or new uses of personal information. If we discontinue a material paid service, we will address remaining prepaid access as required by applicable law and the transaction terms.

8. Suspension and ending use

We may restrict accounts where reasonably necessary for serious abuse, legal requirements, payment issues or material breaches. Where reasonable and lawful, we explain the reason, provide an opportunity to resolve it and allow supported export of user-created content. Urgent security or legal circumstances may require immediate action. Contact infosyscoreteam@gmail.com to challenge an error.

You may stop using the app and request account deletion. Cancel recurring billing separately through the supported billing route unless an account-deletion flow explicitly confirms cancellation with the billing service. Deleting the account, disconnecting Drive and deleting cloud backups are separate actions with separate consequences described in the Privacy Policy.

9. Warranties and responsibility

We aim to provide the functionality described in the offer with reasonable care. Software can have interruptions, compatibility issues and errors. Except for express commitments and rights the law provides, we do not promise uninterrupted operation or a particular teaching result.

To the extent permitted by applicable law, liability for indirect or consequential business loss is limited, and our aggregate contractual liability for the relevant service is capped at the amount you paid for it during the12months before the event giving rise to the claim. This proposed cap requires local review before publication. It does not apply where the law prohibits a limitation, including applicable liability for fraud, intentional wrongdoing, gross negligence, death/personal injury or non-waivable consumer and data-protection rights. A statutory remedy is not removed because it exceeds a contractual cap.

Nothing in these Terms excludes an obligation or remedy that cannot lawfully be excluded. If a provision conflicts with mandatory law, that law governs the conflict and the remainder applies so far as lawful.

10. Complaints, law and updates

Send a complaint to infosyscoreteam@gmail.com with the relevant account/order reference and a description, avoiding unnecessary personal information. We acknowledge complaints within two business days (Monday to Friday, excluding Philippine public holidays) and seek to resolve them within 15 calendar days, with a substantive reply within seven calendar days and updates at least every seven days for complex cases, without extending any legal deadline or restricting access to a regulator, court or remedy. You may contact the merchant for transaction issues and the relevant authority for statutory rights.

These Terms are governed by Philippine law, subject to mandatory protections and forum rights that apply where you live or purchase. There is no mandatory arbitration clause or waiver of regulatory complaints in this draft. Obtain jurisdiction-specific review before offering the service in additional markets.

Material amendments receive appropriate notice. Where fresh agreement is required, we request it. Earlier versions and change summaries are at https://esl-teaching-studio.pages.dev/policy-archive/. No retroactive amendment removes an accrued claim or mandatory right.
